Episonic Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Episonic AI, Inc. ("Episonic," "we," "us," or "our"). They govern your access to and use of the Episonic platform, including our website, applications, AI-powered features, and all related services (the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and all policies incorporated by reference.

Please read these Terms carefully. They include important provisions about dispute resolution, limitations of liability, and your rights and responsibilities.

1. Important Notice About AI and Your Data

By default, Episonic uses conversations with Lauralai and content you provide to improve our AI. You can change this in your Privacy Settings. See our AI Product Terms and Privacy Policy for full details.

2. Incorporated Policies

The following policies are part of these Terms and are incorporated by reference. By agreeing to these Terms, you also agree to:

• Privacy Policy — how we collect, use, share, and protect your information
• AI Product Terms — rules governing AI-powered features, including Lauralai, data training, and your privacy controls
• Acceptable Use Policy — prohibited content and conduct on the platform
• Feature-Specific Terms — additional terms for specific features and integrations

If there is a conflict between these Terms and any incorporated policy, these Terms control except where the incorporated policy explicitly states that it prevails on a specific topic.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 16 years old to use the Service. If you are between 16 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By using the Service, you represent that you meet these eligibility requirements.

3.2 Account Registration

You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@episonic.ai if you believe your account has been compromised.

3.4 Account Types

Episonic offers the following account tiers: Free, Indie, Pro, Team, Enterprise, and Guest Pass. The features, usage limits, and pricing applicable to each tier are described on our pricing page and may change from time to time. Changes to pricing will not apply to your current billing period.

3.5 Team and Enterprise Accounts

If you create or administer a Team or Enterprise account, you are responsible for the activity of all users within your organization's account. You have the authority to manage Privacy Settings, including AI training and human review toggles, on behalf of users in your organization. For Team and Enterprise accounts, both toggles default to OFF and can be enabled by the account administrator. Users within your organization are bound by these Terms and by any settings you configure.

3.6 Guest Pass

A Guest Pass grants limited, temporary access to specified features of the Service. Guest Pass users are bound by these Terms. The account holder who issued the Guest Pass is responsible for the guest's use of the Service. Privacy Settings for Guest Pass users are controlled by the issuing account holder — Guest Pass users cannot change these settings themselves. AI training and human review toggles default to OFF for Guest Pass users.

4. The Service

4.1 What Episonic Provides

Episonic is an AI-powered platform for podcasters. The Service includes conversational AI (Lauralai), audio transcription and analysis, content generation, podcast data and insights, and related tools. The specific features available to you depend on your account tier.

4.2 AI Features

Your use of AI-powered features is governed by the AI Product Terms, which cover how AI features work, how your data is used (including for AI training), your privacy controls, ownership of AI-generated content, and limitations on AI output accuracy.

4.3 Changes to the Service

Episonic may add, modify, suspend, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that significantly reduce the functionality available to your account tier.

4.4 Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

5. Your Content

5.1 Ownership

You retain all rights, title, and interest in the content you upload, create, or provide through the Service ("User Content"). Episonic does not claim ownership of your User Content.

For the purposes of these Terms, User Content includes your Input and Output as defined in the AI Product Terms.

5.2 License Grant to Episonic

By using the Service, you grant Episonic a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, adapt, and transmit your User Content solely for the following purposes:

• To operate and provide the Service — including processing your requests, generating AI responses, delivering features, and displaying your content to you within the platform
• To improve the Service — including training, fine-tuning, and evaluating AI models and features, subject to your Privacy Settings as described in the AI Product Terms and Privacy Policy
• To enforce these Terms — including investigating potential violations of the Acceptable Use Policy
• To comply with legal obligations — as required by applicable law or valid legal process

This license continues for as long as your User Content is stored on our systems. When you delete your User Content or close your account, this license terminates with respect to future use, subject to the trained-model caveat described in the Privacy Policy, Section 6.4: data already incorporated into trained AI models cannot be removed from those models, even after deletion of the original data. For full details on what opting out of training means and the 30-day exclusion timeframe, see AI Product Terms, Section 5.

5.3 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with the Acceptable Use Policy
• You have obtained any required consents from third parties whose information you include in your User Content (such as podcast guests, collaborators, or audience members)

6. Episonic's Intellectual Property

6.1 Platform Ownership

The Service — including its design, code, algorithms, models, features, documentation, trademarks, and all related intellectual property — is and remains the property of Episonic or its licensors. Nothing in these Terms grants you any right to Episonic's intellectual property except the limited right to use the Service as described herein.

6.2 Feedback

If you provide suggestions, feature requests, bug reports, or other feedback about the Service ("Feedback"), you grant Episonic a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service without obligation to you.

7. Restricted Activities

You agree not to:

• Use the Service in violation of these Terms, the Acceptable Use Policy, or the AI Product Terms
• Scrape, crawl, or systematically extract data from the Service, including for AI, machine learning, or data science purposes, unless expressly authorized by Episonic in writing
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or model weights of any part of the Service
• Use the Service to build, train, or improve a competing product or service
• Benchmark the Service or publish performance comparisons without Episonic's prior written consent
• Circumvent, disable, or interfere with any security, access control, rate-limiting, or usage-limiting features of the Service
• Share, resell, or sublicense your account access, except through authorized Team, Enterprise, or Guest Pass features
• Use the Service to transmit viruses, malware, or other harmful code
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other user's use

8. Billing and Payments

8.1 Paid Plans

If you subscribe to a paid account tier (Indie, Pro, Team, or Enterprise), you agree to pay the applicable fees as described on our pricing page. All fees are stated in U.S. dollars unless otherwise indicated.

8.2 Billing Cycle

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of signup. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

8.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

8.4 Refunds

Fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund, contact support@episonic.ai.

8.5 Price Changes

Episonic may change subscription pricing with at least 30 days' notice. Price changes will apply to the next billing period after the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

8.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or similar taxes imposed on your subscription, except for taxes based on Episonic's income.

9. Termination

9.1 Termination by You

You may close your account at any time by contacting support@episonic.ai or through your account settings. Upon account closure, your right to use the Service terminates immediately.

9.2 Termination by Episonic

Episonic may suspend or terminate your access to the Service at any time if:

• You violate these Terms, the Acceptable Use Policy, or the AI Product Terms
• We are required to do so by law
• We reasonably believe your use of the Service poses a risk to other users, to Episonic, or to any third party
• Your account has been inactive for an extended period

Where possible, we will provide notice and an opportunity to cure before terminating your account. However, we may terminate immediately for serious violations.

9.3 Effect of Termination

Upon termination:

• Your right to access the Service ends immediately
• Episonic will retain your data for the period described in the Privacy Policy, Section 6 and then delete it, unless retention is required by law
• You may request an export of your data before or within a reasonable period of account closure by contacting privacy@episonic.ai
• Data already incorporated into trained AI models is not affected by account closure (see Privacy Policy, Section 6.4 for details)
• Sections of these Terms that by their nature should survive termination will continue in effect

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

Episonic specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Episonic does not warrant that:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained through the Service (including AI-generated content) will be accurate, reliable, or complete
• Any errors in the Service will be corrected

AI output disclaimers are detailed in AI Product Terms, Section 7. You acknowledge that AI features may produce inaccurate, incomplete, or inappropriate content and that you are solely responsible for evaluating and using such content.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPISONIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access to or alteration of your data
• Any third-party conduct on the Service
• Any other matter related to the Service

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPISONIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID EPISONIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11.3 Basis of the Bargain

The disclaimers and limitations in Sections 10 and 11 are a fundamental part of the agreement between you and Episonic. Episonic would not provide the Service without these limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Episonic and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your User Content, including any claim that your User Content infringes the rights of a third party
• Your violation of these Terms, the Acceptable Use Policy, or the AI Product Terms
• Your violation of any applicable law or regulation

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing any formal proceeding, you agree to first contact us at legal@episonic.ai and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

If we cannot resolve a dispute informally, you and Episonic agree to resolve any dispute, claim, or controversy arising out of or in connection with these Terms or the Service through binding arbitration. The arbitration will be conducted in New York City, New York.

YOU AND EPISONIC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

13.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13.5 Small Claims

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

14. Modifications to These Terms

Episonic may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website with a revised "Last Updated" date
• Sending an email to the address associated with your account, or
• Displaying a prominent notice within the Service

Material changes will take effect no earlier than 30 days after notice is provided. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes.

If you do not agree to modified Terms, you may close your account before the effective date.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the incorporated policies, constitute the entire agreement between you and Episonic regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.3 Waiver

Episonic's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
